عاجل| الحكومة تخسر 3 مقاعد بمجلس إدارة الشرقية للدخان

أظهرت قرارات الجمعية العمومية العادية؛ لشركة الشرقية للدخان بخصوص أعاد هيكلة مجلس إدارة الشركة بعد صفقة استحواذ جلوبال الاستثمار على حصة 30% من رأسمال، انخفاض تمثيل الشركة القابضة الكيماوية في عضوية مجلس إدارة الشركة، لصالح شركة جلوبال للاستثمار الإماراتية.
الحكومة تفقد 3 مقاعد لصالح المستثمر الجديد:ووفقا لبيان الشرقية للدخان فإن تمثيل الحكومة في مجلس إدارة الشركة عبر الشركة القابضة الكيماوية تراجع إلى مقعدين مقارنة 5 مقاعد في السابق، بينما حصلت شركة جلوبال للاستثمار على ثلاث مقاعد لتكون صاحبة التمثيل الأكبر في مجلس إدارة الشرقية للدخان.
وكانت الشركة الشرقية للدخان أعلنت عقد اجتماع الجمعية العمومية العادية لإعادة هيكلة مجلس إدارتها بما يتوافق مع التمثيل النسبي بعد إتمام صفقة استحواذ جلوبال للاستثمار على حصة 30% من رأسمال ضمن برنامج الطروحات الحكومية.
تعيين عمرو الجنايني كعضو مستقل:ووفقا للتشكيل الجديد لشركة الشرقية للدخان، تم تعيين تامر عبد العزيز عضو مجلس إدارة مستقل، وتم تمثيل جلوبال للاستثمار بثلاث مقاعد، والشركة القابض بمقعدين، وصندوق اتحاد العاملين بمقعد واحد، وتم قبول استقالة سيد محمد كعضو مستقل وتم تعيين بدلا منه عمرو الجنايني.
وكانت إدارة البورصة أعلنت أنه إنه تم تنفيذ صفقة استحواذ شركة "جلوبال للاستثمار القابضة المحدودة" الإماراتية على حصة بالشرقية للدخان وفقا لاتفاقية الموقع بين الشركتين في سبتمبر الماضي ضمن برنامج الطروحات الحكومية.
وقالت البورصة، أنه تم تنفيذ صفقة ذات حجم كبير على أسهم الشرقية للدخان على أسهم الشركة لعدد 669،000،000 سهم بقيمة 16،403،880،000 جنية.
وكان رئيس مجلس الوزراء المصري، الدكتور مصطفى مدبولي شهد مراسم التوقيع على اتفاقية استحواذ على 30 % من إجمالي أسهم الشركة الشرقية "إيسترن كومباني"، لصالح شركة "غلوبال للاستثمار القابضة المحدودة" الإماراتية.
وبموجب الاتفاقية الموقعة تستحوذ شركة "جلوبال للاستثمار القابضة المحدودة" على 30 % من إجمالي أسهم الشركة الشرقية "إيسترن كومباني" بقيمة 625 مليون دولار بما يعادل نحو 19.336 مليار جنيه، مع قيام المشتري بتوفير مبلغ 150 مليون دولار لشراء مستلزمات الإنتاج للشركة من التبغ المستورد.
